Challenges in Europe and North America after 1992, Kluwer (1991) 181p. The papers published in this book are based on reports made in the
1990 conference at Salzburg. They express the view of
practicing lawyers on the recent developments in the mergers and acquisitions
(M&A) area both in Europe and in the US. The reporters analyze the EEC legislations on merger control, joint
venture and financing of acquisition and the probable future of the M&A
activities in the Single Market perspective. They also point out the recent
developments in US law concerning foreign investment and the benefits to be
drawn from the Free Trade Agreement between the US and Canada. In addition to
these international trade questions, the authors address some corporate issues
like cross-border movements of executives (in Belgium, Switzerland), parent
liability for subsidiary obligations (in the US), successor liability problems
in the United Kingdom, disputes within corporations (in the Netherlands) and
the Finnish M&A legislations. The emphasis on the 'practical' makes these articles of particular
interest for lawyers who are seeking to update their documentation on EEC and
US merger law. However, practitioners should be aware that since the
publication of this book, the case-law on EEC merger control has substantially
expanded. The EEC policy towards merger and joint-venture has been,
